Japan FEFTA Notifications & Investment Procedures

Before setting up a company, contributing capital or acquiring shares in Japan, check whether a prior notification or post-investment report is required.

Foreign investment in Japan may fall under the Foreign Exchange and Foreign Trade Act (FEFTA). The procedures depend on the investor, transaction, business activities and applicable exemptions.

We help organise your investment plans, identify the points to check and prepare the required information. Discuss the arrangements before remitting funds, contributing capital or completing a share transaction.

What is the Foreign Exchange Act (FEFTA / Foreign Exchange and Foreign Trade Act)?

FEFTA is one of Japan’s laws governing cross-border transactions and foreign investment. An inward investment may require advance notification and screening, or a report after the investment. Different cases follow different procedures.

The assessment considers the investor’s background, the shareholding or funding arrangements and the company’s actual activities.

What Information Affects the Assessment?

The review considers actual business activities and investment arrangements, not only a company name or registered business description.

  • Investor: individual or company, location and ownership relationships.
  • Transaction: new company formation, share acquisition, capital increase or another investment.
  • Business: products, services, technologies and customer uses, including any designated sectors.
  • Timing: planned remittance, capital contribution and completion dates.

Designated sectors and rules change. The current official guidance and your circumstances must be checked.

Official Information & Filing Timelines

See the Bank of Japan’s FEFTA procedures for forms, submission methods and guidance.

For a prior-notification case, confirm the review and waiting period before scheduling the investment. Post-investment reporting deadlines vary by transaction and form, so they should be checked during planning.
